Terms of Service

1. Acceptance of Terms
By accessing or using chat.win (the “Service”), including by creating a prompt, submitting a solution, viewing content or depositing USDC, you agree to be bound by these Terms and the Prompt Challenge Rules. The Rules govern all activities related to the creation, submission and solving of prompts. If you do not agree, do not use the Service.
2. Description of Service
chat.win is a platform that combines AI prompt engineering with blockchain technology. Users can create unique challenges designed to test AI behavior, and others can attempt to solve them for rewards. The platform uses smart‑contract wallets and automated evaluation systems to provide a fair and transparent environment.
3. Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction) and have the legal capacity to enter into these Terms. You are solely responsible for ensuring that your use of the Service complies with all applicable laws and regulations, including those relating to cryptocurrency and export controls. We may refuse service or close accounts if we suspect you are in a prohibited jurisdiction or otherwise ineligible.
4. Account Creation and Wallets
When you sign in, chat.win automatically creates a smart‑contract wallet for you on the Polygon network. You are responsible for maintaining the security of your wallet credentials and for all activities that occur under your account. You agree to notify us immediately if you suspect unauthorized use.
5. Deposits, Message Fees and Payouts
Deposits. You may deposit USD Coin (“USDC”) into your smart‑contract wallet on Polygon. Only send USDC on the Polygon network; sending other assets or using other networks may result in loss of funds.
Message Fees. Each message sent to the AI model costs a small fee (denominated in USDC). If a message fails to generate due to technical error, the message fee is refunded. If the AI model refuses to respond (which may happen by design), the message fee is not refunded.
Payouts. When a submitted solution meets the win criteria, the prize is automatically distributed to the solver’s smart‑contract wallet. Payouts are handled by smart contracts on Polygon. We are not responsible for transaction delays or failures due to network congestion or third‑party providers.
6. Prompt Creation and Solving
Description and Win Criteria. Each prompt must include a complete description, background, expected interaction and any constraints. Win criteria must be specific, measurable, objective and verifiable. Creators may optionally include a system prompt to define special behavior.
Prompt Types. A Base Prompt uses the AI model’s default behavior and contains no additional system prompt, while a Custom Prompt includes a system prompt provided by the creator.
Solving Prompts. Solvers must read and understand the description and win criteria before beginning. You may use creative techniques, including exploring model bugs or bypassing safety rules where relevant to the challenge. You agree not to submit content that violates applicable law or our policies.
General Conduct. You must engage respectfully and in good faith and comply with platform policies. Content must not include prohibited material. Prompts and solutions may be reused, adapted or modified by anyone without permission or attribution. By submitting content, you grant Turing LLC a worldwide, non‑exclusive, royalty‑free licence to host, distribute, modify and display that content for any purpose related to the Service.
Judging and Decisions. All judgments of prompt outcomes are made by the site owners or designated judges. Site owners may overturn failed judgments at their discretion, but passed judgments cannot be overturned. In the event of technical issues, we may cancel, reschedule or void any challenge or result.
Violations. Breaking the rules may result in removal of content, disqualification, suspension or permanent ban. We may suspend or terminate your account at any time for any reason.
7. Content and Intellectual Property
chat.win Content. The Service and all materials therein (including the site, algorithms, branding and user interface) are owned by Turing LLC or its licensors. All rights not expressly granted are reserved.
User Content. You retain ownership of the content you submit. By posting prompts or messages, you grant Turing LLC and other users a perpetual, irrevocable, sublicensable, transferable, non‑exclusive licence to use, copy, modify, distribute, publicly display and create derivative works from your content for any purpose related to the Service. You represent that you have the right to grant this licence and that your content does not violate the rights of any third party.
Third‑Party Content. The Service may provide access to third‑party AI models and content. We do not endorse, control or take responsibility for third‑party content.
8. Disclaimer of Warranties
chat.win is provided “as is” and “as available.” We make no warranties, express or implied, regarding uninterrupted access, error‑free operation, accuracy, reliability, merchantability, fitness for a particular purpose or non‑infringement. Your use of the Service is at your own risk. We assume no responsibility or liability for downtime, outages, bugs, delays, data loss, smart‑contract or blockchain issues, third‑party service failures or provider/model availability. You are solely responsible for maintaining backups and verifying submissions.
9. Limitation of Liability
To the maximum extent permitted by law, Turing LLC and its affiliates, officers, directors, employees and agents will not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, revenues, data or use, arising out of or related to your use of the Service. Our total liability for any claims under these Terms is limited to the greater of (a) the amount you have paid to us in the six months prior to the claim or (b) USD 100. Some jurisdictions do not allow certain limitations of liability, so these limitations may not apply to you.
10. Indemnification
You agree to indemnify, defend and hold harmless Turing LLC and its affiliates from and against any claims, liabilities, damages, losses and expenses (including legal fees) arising out of or related to (a) your use of or access to the Service; (b) your violation of these Terms or the Rules; (c) your violation of any rights of another; or (d) your content.
11. Dispute Resolution
You agree that any disputes arising out of or relating to these Terms or the Service will be resolved through binding arbitration rather than in court. The arbitration shall be conducted by a neutral arbitrator mutually agreed by the parties or, if the parties cannot agree, by an arbitrator appointed by a court of competent jurisdiction pursuant to the Federal Arbitration Act. The arbitration will be conducted in Hillsborough County, Florida, unless the parties agree to a different location or to a remote hearing. Each party will bear its own attorneys’ fees and costs unless the arbitrator awards otherwise. Class or representative actions are not permitted: you and Turing LLC waive any right to bring or participate in a class action or class arbitration. Either party may bring an individual claim in small claims court or seek temporary or permanent injunctive relief from a court to protect intellectual property rights or prevent unauthorized use of the Service.
12. Governing Law and Venue
These Terms and any dispute between you and Turing LLC will be governed by the laws of the State of Florida, excluding its conflicts of law rules. Unless otherwise required by arbitration, any legal proceeding will be brought exclusively in the state or federal courts located in Hillsborough County, Florida, and you consent to their personal jurisdiction and venue.
13. Changes to the Terms
We may modify these Terms at any time. When we do, we will post the updated Terms on the chat.win site and update the “Last Updated” date. Your continued use after any change constitutes your acceptance of the revised Terms. If you do not agree to the new terms, you must stop using the Service.
14. Other Provisions
Severability. If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect.
Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
Entire Agreement. These Terms, together with the Rules and the Privacy Policy, constitute the entire agreement between you and Turing LLC regarding your use of the Service and supersede any prior agreements.
No Waiver. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
